1. The Owner's Bill of Rights
These are promises, and they are also terms of this agreement. Where anything below seems to say otherwise, this section wins.
- Month to month. Every plan renews one month at a time. There is no annual commitment and no automatic renewal for longer than one month.
- Cancel by text. You may cancel at any time by text message or email to us. Cancellation takes effect at the end of the billing month already paid. There is no cancellation fee, ever.
- You own every photo and video we shoot for your business, from the moment it is taken. We may use them to do the work you hired us for and, with your written permission only, in our own marketing.
- You own your domain, your website files, your written content, and your customer list. We hold them for you while we work together and hand them to you when we stop.
- Your Google, Meta, and other accounts stay yours. We never create accounts in our name for your business. You can remove our access at any time from your own account settings.
- You see the numbers. A written report and a conversation with one of our founders every month, in English or Spanish.
2. Parties and acceptance
This Client Service Agreement ("Agreement") is between Shelf & Suites LLC, a New Jersey limited liability company ("Shelf & Suites", "we", "us"), and the business named at signup ("Client", "you"). The person accepting on the Client's behalf confirms they own the business or are authorized to bind it. You accept this Agreement by checking the acceptance box at signup or checkout, by signing it, or by paying the first invoice. The Privacy Policy and, for the website and free report, the Terms of Service are incorporated; this Agreement controls where they differ.
3. Services and plans
We provide the services included in the plan you select, as described on the pricing page at the time of signup and repeated in your order confirmation. In summary:
| Plan | Included |
|---|---|
| Found | Your Google Business Profile updated by our team every week; your Google listing checked every month, and our team fixes what's wrong; every Google review answered by our team, in English or Spanish to match the reviewer; and a monthly call. |
| Growing | Everything in Found; a new website designed, built, and hosted by us; AI-readiness work on your website (structured data, FAQ, entity pages, llms.txt); up to 12 social posts per month to Instagram and Facebook; a photo and video session each quarter, and you own the files; a monthly report, including whether an AI assistant names you. |
| Dominant | Everything in Growing; Meta and Google ads built and run by us as a 90-day test with one goal, with spend funded by you from your own card (minimum $500/month in spend); catering and events pages with lead follow-up; a quarterly strategy session; a priority line to both founders. |
We may improve or change how a service is delivered, and we may add features, as long as the plan continues to include what you bought. Work outside the plan (for example, a second location, a menu redesign, or an additional shoot) is quoted separately and done only with your written approval.
4. Fees, billing and cancellation
- Fees are the monthly price of your plan plus any add-ons you approve in writing. There is no setup fee unless one is quoted to you in writing before you accept this Agreement.
- Billing is monthly in advance, by card or by invoice through our payment processor, starting on the day you sign up. Prices are in U.S. dollars and exclude applicable taxes.
- Price changes require 30 days' written notice and never apply to a month already paid.
- Ad spend under the Dominant plan is paid by you directly to Meta and Google from your own ad accounts. It is not our fee and we never hold it.
- Late or failed payments: if a charge fails or an invoice goes unpaid, we notify you. If payment is not made within 14 days we may pause work until it is. Fees for months already worked remain due.
- Cancellation: by you at any time by text or email, effective at the end of the paid month, no fee. Fees already paid are not refunded, because the month's work has been scheduled and largely done, except as stated in Results.
5. Who owns what
Yours
Your business name, logo, and brand; every photo and video we create for you (copyright assigned to you on creation, subject to payment of that month's fee); your domain name (registered in your name, or transferred to you on request and in any case on termination); your website's content and files (text, images, menu data, and the generated pages, delivered as a static export or in a format you can host elsewhere); your customer list, reviews, and messages; and all data in your connected accounts.
Ours
The EC Presence platform, the audit engine, the scoring methods and prompts, our website templates and design system, our processes, and any know-how. You receive a license to use them through the services while this Agreement is in effect. A site built on our template is delivered to you as rendered pages and content, not as the template's source code.
License to us
You grant us a non-exclusive license to use your brand, content, and connected-account data solely to provide the services. With your separate written permission we may name you and show results as a case study; you may withdraw that permission at any time going forward.
6. Access and authorization
You authorize us, as your agent, to access and manage the accounts and properties you connect or hand over: Google Business Profile, Search Console, Facebook Page, Instagram Business account, advertising accounts, your website hosting and domain registrar, and review platforms. We act only on your instructions and this Agreement, we use our own staff logins or the access you grant from your accounts, and we never change account ownership or recovery details. You remain responsible for the accuracy of the business information you give us (hours, prices, menu, address) and for compliance with the platforms' own rules. You will tell us promptly about changes that affect what we publish.
7. Content, approvals and ads
- Posts, replies and campaigns: we draft and schedule. You may approve each item, approve by category, or let us publish on a schedule; your choice is recorded in the dashboard and you can change it any time. Replies to one- and two-star reviews are always shown to you before publishing.
- Publishing to your accounts: when you connect your Facebook Page, Instagram account, or Google Business Profile, or give us access to them, you authorize us to publish to them, on your behalf, the photos, videos, and text that you approve or that your publishing setting allows. That includes photos and videos you share with us, the ones we shoot for you, and the posts and captions we write. We may resize, crop, trim, and caption photos and videos to fit each platform, without changing what they show. You confirm you have the right to publish what you give us, including permission from the people who appear in it. We publish only to the accounts you choose. When you remove our access or this Agreement ends, we stop publishing; posts already published stay on your accounts unless you ask us to remove them.
- You are responsible for the truth of claims about your food, prices, and offers, and for having rights to anything you give us to publish. We will not publish what we reasonably believe is unlawful or breaks a platform's rules.
- Advertising: campaigns run from your ad accounts with budgets you approve in writing inside the dashboard. We never spend beyond an approved budget. Ad copy is reviewed by a person before launch. Platform fees and policy decisions by Meta and Google are outside our control.
- Website: we build to our template for speed, search, and AI readability. You choose colors, photos, text, menu, and which sections appear; layout and technical structure are ours to keep the site performing.
8. Results
We do not and cannot guarantee any search ranking, map position, AI mention, review rating, follower count, traffic level, or amount of sales. Google, Meta, and AI providers decide what they show. Any figure in a report or proposal, including "estimated lost sales", is an estimate built from published data and stated assumptions.
What we do guarantee is the work in your plan, delivered each month, and a monthly call to go through it. On Growing and Dominant you also get a written monthly report that shows what we did and what moved: Google grid position, AI mentions, calls and direction requests from Google, reviews, posts published. The 90-day promise: if, after 90 days of continuous service and your timely cooperation, the measurements we share with you each month show no improvement in any measured category over your starting point, you may cancel and we will deliver every file, photo, and export to you within 14 days at no charge, and we will refund the third month's fee. Cooperation means providing access, approving content within 5 business days when approval is required, and keeping business information current.
9. Data and confidentiality
Each party keeps the other's non-public business information confidential and uses it only for this Agreement. Your customer data is yours; we process it only to provide the services, under the Privacy Policy, and we do not sell it or use it for other clients. Our platform operator, EricSupply LLC, is bound to the same confidentiality. On request, we delete your data within 30 days after termination, except records we must keep by law and consent records.
10. Liability
EXCEPT FOR A PARTY'S BREACH OF CONFIDENTIALITY, A PARTY'S INDEMNITY OBLIGATIONS, OR A PARTY'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT: (A) NEITHER PARTY IS LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR GOODWILL; AND (B) EACH PARTY'S TOTAL LIABILITY UNDER THIS AGREEMENT IS LIMITED TO THE FEES PAID BY CLIENT IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. You will indemnify us against third-party claims arising from content or claims you supplied, your products and services, or your violation of law. We will indemnify you against third-party claims that our platform or templates infringe their intellectual property.
11. Term, termination and what happens after
This Agreement starts when you accept it and continues month to month until either party cancels. You may cancel as described in section 4. We may cancel with 30 days' written notice, or immediately if you do not pay within 14 days of notice, if you ask us to do something unlawful or against platform rules, or if you are abusive to our team.
Within 14 days after the last paid day we will: transfer your domain to a registrar account you control; deliver your website content and pages, photos, videos, and written content; export your customer list and any data we hold for you; and remove our access from your accounts. Your site remains live on our hosting for 30 days after the last paid day so you can move it without interruption; after that it is taken down.
12. General
- Governing law and venue: New Jersey law; exclusive jurisdiction in the state and federal courts in Bergen County, New Jersey; 30-day informal resolution first; jury trial waived to the extent permitted.
- Independent contractor: we are not your employee, partner, or joint venturer.
- Notices: by email to the addresses on file, or by text for cancellation and routine matters.
- Entire agreement: this Agreement, your order confirmation, the Privacy Policy, and the Terms of Service are the whole agreement. Changes to this Agreement require 30 days' notice and apply from your next monthly renewal; if you do not agree, cancel before then.
- Assignment: neither party may assign without consent, except we may assign to a successor to our business on notice to you, bound by the Owner's Bill of Rights.
- Severability and waiver: if a provision is unenforceable the rest stands; a failure to enforce is not a waiver.
- Language: the English text governs. We provide a Spanish courtesy translation on request and every conversation with you can be in Spanish.
